1. Who these terms are with

These terms apply to business conducted by PYCO RENEW LTD (company number 16774881, VAT number GB505306526), trading as ServerGear, of Unit D13, Fieldhouse Industrial Estate, Rochdale OL12 0AA. They apply between businesses; we do not purchase from consumers.

2. Valuations

Valuations are provided free and without obligation, based on the information you supply. Unless stated otherwise, a written valuation remains open for 14 days from the date of issue.

A valuation given before we have inspected the equipment is necessarily based on the described condition and configuration. Where our goods-in audit materially differs from that description, we will notify you with the supporting evidence and issue a revised offer. You may accept the revised offer or decline it, in which case the equipment will be returned to you at our cost.

3. Title and authority to sell

By accepting an offer you confirm that:

• You own the equipment outright, or are authorised by the owner to sell it;
• The equipment is free of any lease, hire purchase, asset finance or other third-party interest; and
• You have obtained any internal approvals required for its disposal.

Title passes to us on completion of the goods-in audit. Risk passes on collection. We do not knowingly purchase leased or financed equipment; if such equipment is identified, we will withdraw it from the transaction and return it to you.

4. Collection

Collection is provided free of charge across mainland UK on equipment we are purchasing. Collections are scheduled by agreement and we will work to your site access, escort and change-window requirements where these are made known to us in advance.

You are responsible for ensuring the equipment is accessible and that any equipment not intended for collection is clearly separated. A signed manifest is completed on site recording what was loaded, and a waste transfer note is issued under our waste carrier registration CBDU607333.

5. Data on storage media

You remain the data controller for any data held on equipment you transfer to us, and are responsible for ensuring that its disposal is permitted under your own retention policies and legal obligations.

Unless you instruct otherwise in writing, all storage media received is sanitised to NIST SP 800-88 Rev.1 or physically destroyed. Certificates of erasure or destruction are issued per device by serial number. Media that fails sanitisation is destroyed. We do not access, examine or retain the contents of any media.

Where you have retained media and removed it before collection, responsibility for its secure disposal remains entirely yours.

6. Payment

Payment is made by BACS within three working days of the goods-in audit being completed and agreed. We can raise a self-billing invoice or work to your purchase order process, as you prefer. Payment is made to a bank account in the name of the selling entity; we do not pay third parties.

7. Sanitisation as a standalone service

Where we sanitise media you are not selling to us, the service is charged per device at the rate quoted. Certificates are issued on completion. Equipment is returned to you, or disposed of under our T11 exemption EXP/KP3143JC if you instruct us to do so.

8. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, our total liability arising out of any transaction is limited to the value of that transaction. We are not liable for indirect or consequential loss, loss of profit, loss of business or loss of data held on media you retained.

9. Confidentiality

We treat asset registers, site details and commercial terms as confidential and will not disclose them or identify you as a customer without your written permission. We will sign your own NDA on request.

10. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
